Welcome to Orpheus by Thaloz. By accessing or using our platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.
These Terms constitute a legally binding agreement between you and Thaloz ("we," "our," or "us"). We reserve the right to update these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.
2. Definitions
- "Platform" refers to the Orpheus recruitment and talent management system
- "User" refers to any person who accesses or uses the Services
- "Candidate" refers to individuals seeking employment opportunities through the Platform
- "Client" or "Employer" refers to companies seeking to hire talent through the Platform
- "Content" refers to all information, data, text, software, graphics, or other materials available through the Services
3. User Accounts and Registration
3.1 Account Creation
To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You agree to:
- Provide truthful and accurate information
- Maintain the security of your account credentials
- Promptly update your account information if it changes
- Accept responsibility for all activities that occur under your account
3.2 Account Types
The Platform supports different account types:
- Candidate Accounts: For individuals seeking employment
- Client Accounts: For companies seeking to hire talent
- Recruiter Accounts: For recruitment professionals facilitating placements
Each account type has different rights, responsibilities, and access levels as outlined in these Terms.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time if:
- You violate these Terms
- You provide false or misleading information
- Your account is used for fraudulent or illegal activities
- You fail to comply with applicable laws and regulations
4. Services Description
4.1 Platform Features
Orpheus provides the following services:
- Job Posting and Discovery: Clients can post job opportunities; Candidates can search and apply
- Candidate Profiles: Create and manage professional profiles
- Application Management: Track application status and communications
- Messaging: Communicate between Candidates, Clients, and Recruiters
- Analytics and Reporting: Access to hiring metrics and insights (for authorized users)
4.2 Service Availability
While we strive to provide continuous access to the Platform, we do not guarantee uninterrupted availability. We may:
- Perform maintenance or updates that temporarily restrict access
- Modify or discontinue features at our discretion
- Limit access in certain geographical locations
5. User Responsibilities
5.1 For All Users
You agree to:
- Use the Services in compliance with all applicable laws and regulations
- Not use the Services for any illegal, harmful, or fraudulent purpose
- Not interfere with or disrupt the Services or servers
- Not attempt to gain unauthorized access to any part of the Services
- Not transmit viruses, malware, or other harmful code
- Respect the intellectual property rights of others
5.2 For Candidates
You agree to:
- Provide accurate and truthful information about your qualifications, experience, and skills
- Not misrepresent your identity or credentials
- Respond promptly and professionally to employer inquiries
- Not use the Platform to apply for positions you are not qualified for
5.3 For Clients/Employers
You agree to:
- Post only legitimate job opportunities
- Provide accurate job descriptions and requirements
- Comply with employment laws and anti-discrimination regulations
- Not use the Platform to collect candidate information for purposes other than recruitment
- Pay agreed-upon fees for services rendered
5.4 For Recruiters
You agree to:
- Act in the best interests of both Candidates and Clients
- Maintain professional standards and ethics
- Comply with all applicable recruitment regulations
- Accurately represent job opportunities and candidate qualifications
6. Intellectual Property Rights
6.1 Platform Ownership
The Services, including all software, designs, text, graphics, logos, and other content (excluding User Content), are owned by Thaloz and protected by copyright, trademark, and other intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Platform
- Reverse engineer, decompile, or disassemble any software
- Remove or alter any copyright, trademark, or other proprietary notices
- Use our trademarks or branding without prior written permission
6.2 User Content
You retain ownership of any content you submit to the Platform ("User Content"), including:
- Candidate profiles and resumes
- Job postings
- Messages and communications
- Reviews and feedback
By submitting User Content, you grant Thaloz a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute your User Content for the purpose of providing and improving the Services.
You represent and warrant that:
- You own or have the necessary rights to your User Content
- Your User Content does not violate any third-party rights
- Your User Content does not contain illegal, defamatory, or offensive material
7. Payment Terms
7.1 Fees and Billing
Certain Services may require payment of fees. You agree to:
- Pay all applicable fees as described at the time of purchase
- Provide accurate and complete billing information
- Update payment methods if they expire or change
7.2 Subscription Services
For subscription-based services:
- Subscriptions automatically renew unless canceled
- You may cancel at any time; cancellation takes effect at the end of the current billing period
- Refunds are provided only as required by law or at our discretion
7.3 Placement Fees
For recruitment placements, fees may be based on:
- A percentage of the candidate's annual salary
- Fixed placement fees
- Other arrangements as agreed upon
Payment terms will be specified in separate agreements between Thaloz and Clients.
8. Limitation of Liability
8.1 Service Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Services will meet your specific requirements
- The Services will be uninterrupted, timely, secure, or error-free
- Results obtained from the Services will be accurate or reliable
- Any errors or defects will be corrected
8.2 Liability Limitations
TO THE FULLEST EXTENT PERMITTED BY LAW, THALOZ SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption or loss of business opportunities
- Damages arising from your use of or inability to use the Services
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF NO PAYMENT WAS MADE.
8.3 Third-Party Content
We are not responsible for:
- The accuracy, completeness, or quality of User Content
- Employment outcomes or hiring decisions
- Disputes between Candidates and Employers
- Third-party websites or services linked from our Platform
9. Indemnification
You agree to indemnify, defend, and hold harmless Thaloz, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms
- Your violation of any rights of third parties
- Your use or misuse of the Services
- Your User Content
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of Uruguay, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Montevideo, Uruguay.
10.2 Arbitration
For disputes not exceeding $10,000 USD, you agree to resolve disputes through binding arbitration rather than in court, except where prohibited by law. Arbitration shall be conducted in accordance with the rules of a mutually agreed-upon arbitration organization.
10.3 Class Action Waiver
You agree to bring claims against us only in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Using account settings to delete your account
- Contacting our support team at hello@thaloz.com
Upon termination, you will no longer have access to your account and associated data.
11.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, if:
- You breach these Terms
- You engage in fraudulent or illegal activities
- We are required to do so by law
- We discontinue the Services
11.3 Effect of Termination
Upon termination:
- Your right to use the Services ceases immediately
- We may delete your account and User Content
- Provisions that by their nature should survive (e.g., indemnification, liability limitations) will continue to apply
12. Privacy and Data Protection
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on the Platform
- Sending an email notification to your registered email address
- Displaying a notice on the Platform
Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Thaloz regarding the Services.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
14.5 Force Majeure
We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, or internet service failures.
